Governance
The Right Principles

Since its creation in 1990, Unitrin has recognized that the long-term success of our organization depends on how well we serve our two key constituencies: our customers and shareholders. Toward that end, we have consistently striven to conduct our business activities in an ethical and lawful manner. The Board of Directors of Unitrin has always had a majority of non-management directors.

As part of Unitrin's commitment to the principles of good corporate governance, we have adopted the following guidelines, charters and codes. (Viewing the documents requires Adobe® Reader® software, which can be downloaded and installed free of charge from Adobe's website: www.adobe.com.)

Concerns Regarding Accounting and Auditing Matters

Unitrin has established procedures for the receipt, retention and treatment of concerns relating to Unitrin accounting, internal accounting controls, and auditing matters. The Hotline is managed by an independent company and reports can be made anonymously or confidentially; reports can also be submitted online at www.Listenupreports.com.

Communications with non-management Unitrin directors may be made using the Unitrin Corporate Responsibility Hotline at 866-398-0010 or submitted online at www.Listenupreports.com; such communications will be directed to the Chairman of the Nominating & Corporate Governance Committee.
